𝗣𝗔𝗥𝗧-𝗫𝗟𝗜𝗜𝗜

In continuation of FAQ series on the subject matter of "𝗧𝗵𝗲 𝗠𝗼𝘀𝘁 𝗖𝗼𝗺𝗺𝗼𝗻 𝗜𝗣 𝗤𝘂𝗲𝘀𝘁𝗶𝗼𝗻𝘀 𝗪𝗲 𝗛𝗲𝗮𝗿 𝗳𝗿𝗼𝗺 𝗙𝗼𝘂𝗻𝗱𝗲𝗿𝘀 - 𝗔𝗻𝘀𝘄𝗲𝗿𝗲𝗱", here is the Forty-Third question is answered below in the series.


In India, Non-Disclosure Agreements (NDAs) are robust legal tools governed primarily by contract law. Here is a breakdown of their enforceability and key components:



𝗟𝗲𝗴𝗮𝗹 𝗙𝗿𝗮𝗺𝗲𝘄𝗼𝗿𝗸 & 𝗥𝗲𝗾𝘂𝗶𝗿𝗲𝗺𝗲𝗻𝘁𝘀


𝗟𝗲𝗴𝗮𝗹 𝗕𝗮𝘀𝗶𝘀: NDAs are governed by the 𝗜𝗻𝗱𝗶𝗮𝗻 𝗖𝗼𝗻𝘁𝗿𝗮𝗰𝘁 𝗔𝗰𝘁, 𝟭𝟴𝟳𝟮, which provides the framework for enforcing confidentiality agreements.


𝗘𝘀𝘀𝗲𝗻𝘁𝗶𝗮𝗹 𝗘𝗹𝗲𝗺𝗲𝗻𝘁𝘀: To be valid, the agreement must include 𝘃𝗮𝗹𝗶𝗱 𝗰𝗼𝗻𝘀𝗶𝗱𝗲𝗿𝗮𝘁𝗶𝗼𝗻, 𝗮 𝗹𝗮𝘄𝗳𝘂𝗹 𝗼𝗯𝗷𝗲𝗰𝘁, 𝗰𝗼𝗺𝗽𝗲𝘁𝗲𝗻𝘁 𝗽𝗮𝗿𝘁𝗶𝗲𝘀, and 𝗳𝗿𝗲𝗲 𝗰𝗼𝗻𝘀𝗲𝗻𝘁.


𝗖𝗼𝘂𝗿𝘁 𝗥𝗲𝗰𝗼𝗴𝗻𝗶𝘁𝗶𝗼𝗻: Indian courts regularly recognize these agreements and are proactive in granting relief to protect sensitive information.


𝗘𝗻𝗳𝗼𝗿𝗰𝗲𝗺𝗲𝗻𝘁 & 𝗥𝗲𝗺𝗲𝗱𝗶𝗲𝘀


𝗜𝗻𝗷𝘂𝗻𝗰𝘁𝗶𝘃𝗲 𝗥𝗲𝗹𝗶𝗲𝗳: Courts can grant 𝘁𝗲𝗺𝗽𝗼𝗿𝗮𝗿𝘆 𝗼𝗿 𝗽𝗲𝗿𝗺𝗮𝗻𝗲𝗻𝘁 𝗶𝗻𝗷𝘂𝗻𝗰𝘁𝗶𝗼𝗻𝘀 to physically prevent a party from disclosing protected information.


𝗠𝗼𝗻𝗲𝘁𝗮𝗿𝘆 𝗗𝗮𝗺𝗮𝗴𝗲𝘀: If a breach occurs, the aggrieved party can seek financial compensation for any resulting losses.


𝗖𝗿𝗶𝗺𝗶𝗻𝗮𝗹 𝗟𝗶𝗮𝗯𝗶𝗹𝗶𝘁𝘆: In serious instances, a breach of confidentiality may attract criminal charges under provisions related to 𝘁𝗵𝗲𝗳𝘁 or 𝗰𝗿𝗶𝗺𝗶𝗻𝗮𝗹 𝗯𝗿𝗲𝗮𝗰𝗵 𝗼𝗳 𝘁𝗿𝘂𝘀𝘁.


𝗜𝗻𝘁𝗲𝗿𝗻𝗮𝘁𝗶𝗼𝗻𝗮𝗹 𝗥𝗲𝗮𝗰𝗵: Properly drafted Indian NDAs can also serve as a basis for enforcement in foreign jurisdictions.



𝗟𝗶𝗺𝗶𝘁𝗮𝘁𝗶𝗼𝗻𝘀 & 𝗗𝗿𝗮𝗳𝘁𝗶𝗻𝗴 𝗕𝗲𝘀𝘁 𝗣𝗿𝗮𝗰𝘁𝗶𝗰𝗲𝘀


𝗞𝗲𝘆 𝗟𝗶𝗺𝗶𝘁𝗮𝘁𝗶𝗼𝗻𝘀: NDAs cannot be used to protect information that is already in the 𝗽𝘂𝗯𝗹𝗶𝗰 𝗱𝗼𝗺𝗮𝗶𝗻 or was 𝗶𝗻𝗱𝗲𝗽𝗲𝗻𝗱𝗲𝗻𝘁𝗹𝘆 𝗱𝗲𝘃𝗲𝗹𝗼𝗽𝗲𝗱 without the use of the confidential data.



𝗘𝗳𝗳𝗲𝗰𝘁𝗶𝘃𝗲 𝗗𝗿𝗮𝗳𝘁𝗶𝗻𝗴 𝗧𝗶𝗽𝘀:

𝗗𝗲𝗳𝗶𝗻𝗲 𝗦𝗰𝗼𝗽𝗲: Clearly specify exactly what constitutes "confidential information."


𝗦𝗽𝗲𝗰𝗶𝗳𝘆 𝗢𝗯𝗹𝗶𝗴𝗮𝘁𝗶𝗼𝗻𝘀: Outline the exact duties of the receiving party.


𝗧𝗶𝗺𝗲 𝗟𝗶𝗺𝗶𝘁𝘀: Include reasonable duration for how long the information must remain secret.


𝗟𝗲𝗴𝗮𝗹 𝗖𝗼𝘀𝘁𝘀: Include provisions for the recovery of legal fees in the event of a dispute.
